Merchant Payment Terms & Responsibilities

🚨 CRITICAL: Platform Liability Disclaimer

NOVA Affiliate Pro does NOT hold, manage, or process affiliate payments. We are a tracking and monitoring platform only. Merchants are 100% responsible for paying affiliates directly.

The platform assumes ZERO financial liability for non-payment or payment disputes between merchants and affiliates. All payment obligations are between merchant and affiliate directly.

How the Payment System Works

Step 1: Conversion Happens

When an affiliate generates a sale through your offer, a conversion is recorded in the system.

Step 2: Merchant Approves Conversion

You (the merchant) review and approve legitimate conversions. Once approved, a "Payment Due" record is created.

Step 3: 7-Day Payment Window

You have 7 calendar days to pay the affiliate directly using their preferred payment method (PayPal, Revolut, Bank Transfer, etc.).

Step 4: Mark as Paid

After paying the affiliate, you must log into your merchant dashboard and mark the payment as "Paid", providing transaction proof.

Automated Enforcement System

⚠️ Our platform automatically monitors payment deadlines and enforces compliance:

Day 1 Overdue:

Automatic reminder email sent to your registered email address.

Day 2 Overdue:

Warning email sent to both merchant and platform admin. Payment flagged as urgent.

Day 3+ Overdue:

AUTOMATIC ACCOUNT BLOCK. Your merchant account is immediately suspended until payment is completed and verified.

What Happens When Your Account is Blocked?

  • You cannot access your merchant dashboard
  • All your offers are automatically paused
  • No new conversions can be generated
  • No new affiliates can promote your offers
  • Your business listing is removed from the marketplace
  • You cannot create, edit, or activate any offers

✅ How to Unblock Your Account:

Pay all outstanding affiliate dues and provide payment proof. Once verified, your account will be reactivated within 24 hours.

Your Responsibilities as a Merchant

Pay the €19/month subscription fee to maintain platform access

Pay affiliates directly within 7 days of conversion approval

Provide accurate payment information and transaction proof

Maintain sufficient funds to fulfill affiliate commission obligations

Communicate directly with affiliates for any payment disputes

Accept full liability for non-payment or late payment consequences

What NOVA Affiliate Pro Does (and Doesn't Do)

  • • Assume financial liability
  • • Resolve payment disputes legally
  • • Insure against merchant defaults

Legal Disclaimer & Limitation of Liability

1. No Payment Guarantees: NOVA Affiliate Pro makes NO guarantees, warranties, or representations regarding merchant payment performance. The platform is a monitoring tool only.

2. Direct Merchant-Affiliate Relationship: All payment obligations exist solely between merchant and affiliate. The platform is not a party to these transactions.

3. Zero Financial Liability: NOVA Affiliate Pro, its owners, operators, and employees assume ZERO financial liability for merchant non-payment, partial payment, or payment disputes.

4. Enforcement Tools Only: While we provide enforcement tools (reminders, warnings, auto-blocking), these do not constitute a guarantee of payment or legal obligation on our part.

5. Dispute Resolution: Payment disputes must be resolved directly between merchant and affiliate. We may provide data/logs but are not mediators or arbitrators.

6. Indemnification: Merchants agree to indemnify and hold harmless NOVA Affiliate Pro from any claims, damages, or legal actions arising from merchant's failure to pay affiliates.

7. Use at Your Own Risk: Both merchants and affiliates use this platform at their own risk. Due diligence is required when choosing business partners.

Consequences of Repeated Payment Failures

Merchants who repeatedly fail to pay affiliates on time may face:

  • Permanent account ban from the platform
  • Public reputation score visible to affiliates (if implemented)
  • Loss of all pending conversions and earnings
  • Forfeiture of subscription fees (no refunds)
  • Legal action by affiliates (independent of platform)

By Using NOVA Affiliate Pro as a Merchant:

You explicitly acknowledge and agree that:

  • ✓ You understand the platform does NOT hold or manage payments
  • ✓ You accept 100% responsibility for paying affiliates directly
  • ✓ You understand auto-blocking occurs after 3 days overdue
  • ✓ You waive any claims against the platform for payment-related issues
  • ✓ You have read and accept these Merchant Payment Terms in full
